Terms of Service

Boxie, Inc. ("Boxie," "we," "us," or "our") provides cardboard recovery, recycling, and box delivery services. These Terms of Service ("Terms") govern your use of our website, mobile application, and services (collectively, the "Services"). By accessing our Services or creating an account, you agree to be bound by these Terms.

We try to write these Terms the way we run our business — straightforwardly and without unnecessary complexity. That said, this is a legal document, and some sections exist to protect both you and us. We encourage you to read it.

If you do not agree to these Terms, please do not use our Services.

1. Service Description

Boxie offers the following services in our operating areas:

Cardboard Pickup Service: We arrange for scheduled pickup of cardboard boxes and cardboard materials from your residence or business location. Pickups are placed at your designated location and collected by our drivers.

Gently Used Box Delivery Service: We deliver previously used, cleaned cardboard boxes to customers who need packing or storage materials.

Recycling Services: We handle the proper recycling and disposition of collected cardboard materials in accordance with local and state regulations.

Services are available only within Boxie's designated service areas in Colorado. Service availability and scheduling are subject to capacity and operational constraints. We're a small, growing company — we'll always be upfront about what we can and can't do.

2. Eligibility Requirements

You may use Boxie's services only if you meet all of the following criteria:

  • You are at least 13 years of age
  • You are a resident of or operate a business within our designated service area in Colorado
  • You have a valid United States address
  • You have not had your account suspended or terminated by Boxie
  • You comply with all applicable laws and these Terms

If you are under 18 years of age, you represent that you have obtained parental or guardian consent to use our services.

3. Account Registration and Use

3.1 Creating Your Account

To use most Boxie services, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access to your account

3.2 Account Integrity

You may maintain only one active account. Accounts registered with false, misleading, or fraudulent information may be terminated immediately. You may not transfer, share, or allow others to use your account credentials.

3.3 Account Suspension and Termination

Boxie reserves the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in conduct harmful to our service, employees, or other users.

4. Liability Limitations

4.1 Cardboard Pickup - "As-Is" Policy

Boxie is not responsible for any damage to, loss of, or claims related to items left with cardboard for pickup. Cardboard and any items within, around, or attached to collected boxes are picked up and handled on an "as-is" basis. We do not provide insurance for items unless you have separately arranged and paid for additional insurance services.

You acknowledge that:

  • Our drivers may not inspect contents before collection
  • Boxes may be compressed, moved, or stacked during collection and transport
  • Weather exposure may occur during collection
  • We do not provide special handling unless explicitly requested and confirmed in writing

4.2 Box Delivery - Limited Responsibility

While we inspect gently used boxes before delivery, minor wear, marking, or imperfections are normal. Boxie is not responsible for damage to boxes after delivery or for damage to items packed into delivered boxes. Boxie's responsibility is limited to delivering boxes in the condition described in the service listing.

4.3 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, Boxie disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the above, Boxie does not warrant that: (a) Services will be uninterrupted, timely, or error-free; (b) pickups or deliveries will occur at any exact time; or (c) gently used boxes will be free of cosmetic wear. For the avoidance of doubt, recycling certificate weight measurements are provided under our Boulder County hauler license and are not subject to this disclaimer — see Section 12.

4.4 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BOXIE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO BOXIE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This cap applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, warranty, or any other legal or equitable theory.

4.5 Exclusion of Consequential Damages

IN NO EVENT SHALL BOXIE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: loss of profits, revenue, data, goodwill, or business opportunity; cost of procurement of substitute services; property damage beyond the items directly handled by Boxie; or any damages arising from the use or inability to use our Services — EVEN IF BOXIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

4.6 Assumption of Risk

You acknowledge that cardboard pickup and delivery involves physical interaction with your property, including drivers entering your premises, lifting and moving materials, and operating vehicles near your property. You assume the ordinary risks associated with these activities. Boxie carries general liability insurance and workers' compensation insurance for our drivers, but this does not create a warranty against all possible incidents.

4.7 Essential Purpose

You agree that the limitations and exclusions in this Section 4 are a fundamental part of the bargain between you and Boxie. Boxie would not provide Services at current pricing without these limitations. If any limitation is found unenforceable, it shall be enforced to the maximum extent permitted by applicable law.

5. Driver Safety and Customer Responsibilities

5.1 Driver Status

All Boxie drivers are W-2 employees of Boxie, Inc., and are covered by workers' compensation insurance and our liability insurance.

5.2 Safe Access Requirements

By using our services, you agree to provide our drivers with safe, unobstructed access to your property for pickup or delivery. Specifically, you agree to:

  • Clearly mark and make accessible the location where cardboard should be picked up or boxes should be delivered
  • Remove hazards, obstacles, or dangers from the driver's path
  • Control any animals that might threaten the safety of our driver
  • Provide safe stairs, ramps, or access points if items are above ground level
  • Inform us of any specific safety hazards or restrictions on your property

5.3 Prohibited Conduct

You may not:

  • Harass, threaten, or abuse any Boxie driver or employee
  • Make unwanted physical contact with a driver
  • Engage in conduct intended to intimidate or harm a driver
  • Refuse a driver reasonable access to scheduled pickup or delivery locations

Violations may result in immediate account termination and potential legal action.

6. Refund and Cancellation Policy

6.1 Overview

Our detailed refund and cancellation policy is available at getboxie.com/refunds. That policy is incorporated into these Terms by reference. Key provisions are summarized below.

6.2 Pickup Service Refunds

  • Full refunds available: If you cancel a scheduled pickup 2 or more hours before your pickup window, you will receive a full refund to your original payment method.
  • No refunds: Cancellations made within 2 hours of your pickup window are not eligible for refunds.

6.3 Box Delivery Refunds

  • Full refunds available: If you cancel a scheduled box delivery 2 or more days before the scheduled delivery date, you will receive a full refund plus any credits will be returned to your account.
  • Limited refunds: Cancellations made within 2 days of delivery may be subject to a partial or zero refund depending on preparation stage.

6.4 Subscription Services

Boxie offers recurring subscription plans for regular cardboard pickup or box delivery. Subscription fees are charged according to your selected plan. If you cancel your subscription:

  • You will receive a prorated refund for any prepaid period not yet earned, calculated from the cancellation date through the end of your current billing cycle.
  • Refunds will be issued to your original payment method within 5-10 business days.
  • You may cancel your subscription at any time through your account settings or by contacting support@getboxie.com.

6.5 Auto-Renewal

Boxie subscriptions automatically renew at the end of each billing period according to your selected plan and payment method on file. You are responsible for monitoring your account and canceling if you no longer wish to renew. Failure to cancel does not entitle you to a refund for charges that have already been processed.

7. Acceptable Use Policy

You agree that you will not, and will not permit others to:

7.1 Prohibited Materials

  • Request pickup of hazardous materials, including but not limited to: pesticides, chemicals, electronics, automotive fluids, paint, asbestos, or any material regulated as hazardous by federal or state law
  • Include contaminated, wet, moldy, or otherwise unusable cardboard in pickups
  • Include items other than cardboard (except as explicitly authorized by Boxie for specific services)

7.2 Prohibited Conduct

  • Harass, threaten, or abuse Boxie drivers or employees
  • Provide false information about the contents or condition of materials to be picked up
  • Attempt to circumvent our service terms or pricing
  • Use our service in violation of applicable law

7.3 Consequences

Violation of this Acceptable Use Policy may result in:

  • Refusal of service for specific pickups or deliveries
  • Suspension or termination of your account
  • Liability for any costs incurred due to improper handling of materials

8. Indemnification

8.1 Your Indemnification of Boxie

You agree to indemnify, defend, and hold harmless Boxie, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms or any applicable law
  • Your misuse of our Services
  • Hazardous, contaminated, or prohibited materials you provide for pickup
  • Injury or property damage caused by unsafe conditions on your property that you failed to disclose or remediate
  • Your negligence or willful misconduct
  • Any dispute between you and a third party relating to your use of our Services
  • Your infringement of any third party's rights

8.2 Indemnification Process

Boxie will provide you with prompt notice of any claim subject to indemnification and will cooperate reasonably in the defense of such claim. Boxie reserves the right to assume the exclusive defense and control of any matter subject to indemnification at your expense.

9. Force Majeure

Boxie shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, severe weather, fire, flood, earthquake, epidemic or pandemic, government orders or restrictions, civil unrest, labor disputes or shortages, supply chain disruptions, utility failures, cyberattacks, or any other event beyond Boxie's reasonable control.

During a force majeure event, affected Services will be suspended without penalty to either party. We will make commercially reasonable efforts to resume normal operations as soon as practicable and will notify you of any material service disruptions.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution First

We'd rather talk it out than lawyer up. Before initiating any formal proceeding, you agree to contact Boxie at legal@getboxie.com with a detailed description of your dispute. We will attempt to resolve the matter informally within 30 days of receipt of your notice.

10.2 Binding Arbitration

If informal resolution is unsuccessful, you and Boxie agree to resolve any dispute by binding arbitration rather than in court, except as provided in Section 10.3 below.

  • Arbitration administered by: JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules & Procedures
  • Governing law: These Terms and all claims shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles
  • Costs: Boxie will pay filing fees and arbitrator fees that exceed what you would pay in small claims court. You are responsible for your own attorney fees and costs unless otherwise authorized by law

10.3 Small Claims Court Exception

Either party may bring an individual action in small claims court in the county where you reside or where the dispute arose, provided the matter qualifies for small claims jurisdiction.

10.4 Class Action Waiver

You and Boxie agree that any dispute shall be brought and arbitrated on an individual basis only. You waive any right to participate in any class action, class arbitration, or representative action against Boxie. All disputes must be brought solely in your individual capacity and not on behalf of other users or customers.

11. Service Availability and Performance

11.1 Best-Effort Service

Boxie operates on a best-effort basis. We schedule pickups and deliveries according to capacity, weather, traffic, and operational constraints. We do not guarantee specific pickup or delivery times, only that we will make commercially reasonable efforts to fulfill your request within the scheduled service window.

11.2 No Service Level Agreement

Boxie does not guarantee any specific service level, availability, or performance metrics for any customer class. Service may be delayed or rescheduled due to weather conditions, operational constraints, driver availability, safety concerns, or high demand. Business customers interested in service commitment expectations should contact business@getboxie.com to discuss a separate Business Service Agreement.

11.3 Service Interruptions

Boxie reserves the right to interrupt, suspend, or modify Services at any time for maintenance, safety, or operational reasons with reasonable notice when practicable.

12. Recycling Certificates and Environmental Claims

12.1 Licensed Hauler Status

Boxie is a licensed hauler in Boulder County, Colorado. Our recycling certificates reflect actual measured weights and are suitable for use in compliance reporting, sustainability tracking, and regulatory purposes within our licensed jurisdiction.

12.2 Certificate Accuracy

Recycling certificates issued by Boxie include the weight of cardboard collected and may include derived environmental impact metrics (e.g., estimated landfill diversion, CO2 equivalents). Weight measurements are accurate to the standards required by our hauler license.

Derived environmental impact metrics (trees saved, carbon offset estimates, etc.) are calculated from industry-standard conversion factors and are provided as reasonable estimates. These derived metrics are informational and should not be independently relied upon for carbon credit trading or regulatory submissions that require third-party verification — the underlying weight data is the authoritative figure.

12.3 Scope and Limitations

Boxie's certificates are issued under our Boulder County hauler license. If you operate in a jurisdiction that requires certification from a differently licensed or accredited entity, confirm that Boxie's credentials satisfy your local requirements. Boxie will cooperate with any reasonable verification or audit requests related to our certificates.

13. Intellectual Property Rights

13.1 Boxie's Intellectual Property

Boxie retains all right, title, and interest in the Boxie website, mobile application, branding, logos, service marks, trade names, and all technology, systems, and methodologies underlying our Services.

13.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use our website and application solely for accessing and using our Services in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works based on our Services.

13.3 User Content

If you submit content to Boxie (such as photos of cardboard, reviews, or feedback), you grant Boxie a non-exclusive, royalty-free license to use that content for operating and improving our Services. We will not use your photos, reviews, or personal content in marketing or advertising without your separate, explicit consent. You can withdraw that consent at any time by contacting support@getboxie.com.

14. Account Termination

14.1 Termination by Boxie

Boxie may suspend or terminate your account and deny future access to our services at any time, with or without cause, if we reasonably believe you have:

  • Violated these Terms or our Acceptable Use Policy
  • Endangered the safety of our drivers or employees
  • Provided false or misleading information
  • Engaged in fraudulent activity
  • Harassed, threatened, or abused any Boxie personnel

14.2 Termination by You

You can delete your account at any time directly from the app — no email required, no waiting period. As described in our Privacy Policy, your personal data will be anonymized immediately upon deletion. Upon termination, any pending pickups or deliveries may be canceled. You will not be entitled to a refund for any prepaid balances unless required by law.

14.3 Survival

Sections that by their nature should survive termination (including liability limitations, indemnification, dispute resolution, and intellectual property rights) will continue in effect after your account is terminated.

15. Your Data

We keep this simple: Boxie collects only the data needed to operate the service. We don't track your behavior in the app, we don't sell your data, and we never will. Your payment information is handled exclusively by Stripe — we never see or store your card details. You can delete your account and anonymize your data instantly from the app at any time. Our full Privacy Policy is available at getboxie.com/privacy and is incorporated into these Terms by reference.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. You consent to the jurisdiction of Colorado state courts and to arbitration as provided in Section 10.

17. Changes to These Terms

17.1 Right to Modify

Boxie reserves the right to modify these Terms at any time. Material changes (changes that meaningfully reduce your rights or increase your obligations) will be provided with at least 30 days' notice via email to the address associated with your account or by prominent posting on our website.

17.2 Non-Material Changes

Non-material changes and clarifications may be made immediately without notice. Your continued use of our services following any modifications constitutes your acceptance of the updated Terms.

17.3 No Waiver of Rights

No waiver of any term or condition of these Terms shall be effective unless in writing and signed by an authorized representative of Boxie. Failure to enforce any right or provision does not constitute a waiver of that right or provision.

18. General Provisions

18.1 Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Boxie regarding your use of our services and supersede all prior negotiations, representations, and agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Limitation on Actions

Regardless of the form of action, any claim or cause of action arising out of or related to these Terms or our services must be brought within one (1) year of the date the claim arises, or it will be forever barred.

18.4 Assignment

You may not assign these Terms or your rights and obligations hereunder without Boxie's prior written consent. Boxie may assign these Terms to any successor or affiliate. Any attempted assignment in violation of this section is void.

18.5 Independent Contractors

Our relationship with you is that of independent parties. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.

20. Acknowledgment

By checking the box during account registration or by using Boxie's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety.

If you do not agree to these Terms, you must not access or use our services.
