Boxie Business Customer Service Agreement

This Business Customer Service Agreement ("Agreement") is entered into between Boxie, Inc., a Colorado cardboard recovery and recycling service ("Boxie" or "Provider"), and the customer identified in the accompanying service order ("Customer").

We run our business the same way we'd want a vendor to treat us — straightforwardly, without hidden terms, and with mutual respect. This Agreement reflects that.

1. Service Description

Boxie provides commercial cardboard recovery, pickup, and recycling services to businesses including restaurants, warehouses, offices, and other commercial establishments. Services include:

  • Scheduled cardboard pickup at Customer's location
  • Cardboard recycling and processing
  • Optional recovered cardboard box delivery (if applicable)

All services are performed in accordance with applicable Colorado and federal environmental regulations.

2. Service Commitment

Boxie will use commercially reasonable efforts to provide reliable and professional service. This is NOT a Service Level Agreement (SLA). Boxie does not guarantee uptime, response times, specific pickup windows, or uninterrupted service availability. Service disruptions may occur due to operational constraints, staffing, equipment availability, or other business factors.

3. Scheduling

Pickup schedules will be mutually agreed upon in writing and reflected in the service order. Boxie may adjust scheduled pickup times with a minimum of 48 hours' written notice to the Customer. Customer may request schedule changes with reasonable advance notice, subject to Boxie's operational availability.

4. Pricing

All pricing is outlined in the separate Service Quote and Order Form provided by Boxie. Pricing is not part of this Agreement and may be updated upon 30 days' written notice.

5. Payment Terms

  • Payment Due: Net 30 from invoice date
  • Late Fees: 1.5% monthly interest on overdue balances (18% annually)
  • Payment Method: As specified in the Service Order

6. Term and Termination

Initial Term: Month-to-month unless specified otherwise in the Service Order.

Cancellation: Either party may terminate this Agreement with 30 days' written notice to the other party. Cancellations must be submitted in writing to business@getboxie.com.

Outstanding Obligations: Customer remains responsible for all fees accrued prior to the effective termination date.

7. Force Majeure

Neither party shall be liable for delays or failure to perform due to causes beyond reasonable control, including:

  • Weather events, storms, flooding, or other natural disasters
  • Pandemics, epidemics, or public health emergencies
  • Government actions, regulations, or emergencies
  • Supply chain disruptions
  • Equipment failure or unavailability

In the event of Force Majeure, Boxie will notify Customer promptly and resume service when practicable.

8. Recycling Certificates

Boxie is a licensed hauler in Boulder County, Colorado. Recycling certificates issued by Boxie include actual measured weights and are suitable for use in compliance reporting, sustainability tracking, and regulatory purposes within our licensed jurisdiction.

Derived environmental impact metrics (landfill diversion estimates, CO2 equivalents, etc.) are calculated from industry-standard conversion factors and are provided as reasonable estimates. The underlying weight data is the authoritative figure.

If Customer operates in a jurisdiction requiring certification from a differently licensed entity, Customer should confirm that Boxie's credentials satisfy those local requirements. Boxie will cooperate with reasonable verification or audit requests related to our certificates.

9. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, Boxie disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Boxie does not warrant uninterrupted service or exact pickup timing. For the avoidance of doubt, recycling certificate weight measurements are provided under our Boulder County hauler license and are not subject to this disclaimer — see Section 8.

10. Limitation of Liability

Maximum Liability: Boxie's total aggregate liability under this Agreement shall not exceed the total fees paid by Customer in the three (3) months prior to the event giving rise to the claim. This cap applies regardless of the form of action.

Excluded Damages: IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including loss of profits, revenue, data, goodwill, or business opportunity, cost of procurement of substitute services, or any damages arising from interruption of service — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Essential Basis: Customer acknowledges that these limitations reflect a reasonable allocation of risk and are a fundamental part of the basis of the bargain between the parties.

11. Mutual Indemnification

Each party agrees to indemnify, defend, and hold harmless the other party from any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • That party's negligence or willful misconduct
  • Breach of this Agreement by that party
  • Violation of applicable laws by that party
  • For Customer specifically: hazardous, contaminated, or prohibited materials provided for pickup, or unsafe conditions at Customer's premises that Customer failed to disclose

12. Customer Responsibilities

Customer agrees to:

  • Provide safe, unobstructed access to pickup locations for Boxie drivers
  • Ensure cardboard is free of hazardous materials, excessive contamination, and non-cardboard items
  • Disclose any known safety hazards at the pickup location
  • Treat Boxie drivers and employees with respect. Harassment, threats, or abuse of any Boxie employee will result in immediate termination of this Agreement

13. Data Practices

Boxie collects only the data needed to operate the service — your business contact info, service addresses, and billing details. We do not track usage patterns, run behavioral analytics, or sell your data. Ever. Payment information is handled exclusively by Stripe; Boxie never stores card numbers or bank details. 14. Insurance

Boxie maintains general liability insurance, commercial auto insurance, and workers' compensation insurance as required by Colorado law. All Boxie drivers are W-2 employees. Certificates of insurance are available upon request.

15. Confidentiality

Both parties agree to keep the other party's business information, pricing terms, and customer lists confidential and not disclose them to third parties without written consent, except as required by law.

16. Dispute Resolution

Informal First: Before initiating any formal proceeding, either party shall notify the other in writing at the contact addresses below and attempt to resolve the dispute informally within 30 days. We'd rather work it out than litigate.

Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, governed by Colorado law. Each party bears its own attorneys' fees unless otherwise required by law.

Small Claims Exception: Either party may bring claims within the jurisdiction of small claims court.

17. Governing Law

This Agreement shall be governed by the laws of the State of Colorado, without regard to conflict of law principles.

18. General Provisions

Severability: If any provision is found unenforceable, the remaining provisions continue in full force.

Entire Agreement: This Agreement, together with the Service Order and Boxie's Privacy Policy, constitutes the entire agreement between the parties.

Assignment: Neither party may assign this Agreement without the other's written consent, except that Boxie may assign to a successor or affiliate.

Force Majeure and Limitation of Liability survive termination.

Acceptance

By signing the accompanying Service Order or accepting delivery of services from Boxie, Customer agrees to be bound by this Agreement.

This Agreement is effective as of the date services commence.
